SIGNUP NOW 1. TERMS This Affiliate Agreement begins upon Premium Seats USA’s acceptance of your application and will end when terminated by either party. This Agreement may be terminated, with or without cause, at any time by giving the other party written notice of termination. Commissions on sales are only eligible during the term of this Agreement. 2. COMMISSION STRUCTURE Premium Seats USA will pay you an 8% commission on sales originating from your affiliate link. A sale is defined as any event ticket purchased less any applicable shipping, handling and service charges. 3. PAYMENT Payment of commissions will be made within 15 days after the last day of each calendar month provided the monthly amount due to you exceeds twenty-five dollars ($ 25 USD). Should the total monthly amount due to you not exceed twenty-five dollars, Premium Seats USA will not be obliged to pay you until a later month when the total amount due is in excess of twenty-five dollars. Premium Seats USA is not required to pay you if any provisions of this Agreement are violated. 4. TRADEMARK LICENSE Subject to restrictions contained in this Agreement, Premium Seats USA grants you a non-exclusive license to use the Premium Seats USA corporate trademark and logos belonging to Premium Seats USA to identify yourself as a member of the Affiliate Program. 5. TRADEMARK USAGE GUIDELINES By accepting this Agreement, you agree to refrain from originating or participating in any use of the Trademarks of Premium Seats USA by spam emails, telephone, or other print media, unless such use has been approved by Premium Seats USA in writing. The license granted to use Premium Seats USA Trademarks is limited exclusively as identifying your website as an affiliate. You may not use the Trademarks in any advertisements or represent yourself as Premium Seats USA in any other way. An affiliate may not use or modify the Trademarks and any images shown on the PremiumSeatsUSA.com site for use on their own website or any promotional materials. Failure to abide by these rules and regulations will terminate this Agreement and result in immediate suspension of the Affiliate Program. 6. TECHNOLOGY USAGE GUIDELINES The technology provided is solely provided for the function on increasing revenue through the affiliate program. Any additional technology developed by an affiliate through this relationship shall be used solely for this purpose. Premium Seats USA does not permit permanent redirects from an affiliate’s domain to PremiumSeatsUSA.com for the purpose of increasing search engine ranking for the affiliate. Affiliates who use community sites or message boards, must comply with all policies and restrictions on such sites and message boards, including prohibitions on affiliate activity. 7. MODIFICATION This Agreement contains the entire agreement between both parties and takes the place of any prior agreements, discussions or communications between the parties relating to the subject of this Agreement. You may not modify this Agreement without a written addendum to this Agreement signed by both parties. Premium Seats USA may modify, at any time, any of the terms and conditions contained within this Agreement by publishing a change of notice or a new agreement on our website. If any modification or revision to this Agreement is deemed unacceptable to you, the only option available to you is to terminate the Agreement. You agree that Premium Seats USA is not obligated in any way to notify you of any change to this Agreement. 8. LIMITATION OF LIABILITY Premium Seats USA will not be liable for indirect, special or significant damages, or any loss of income, profits or data, arising in connection to this Agreement or the Affiliate Program. Furthermore, Premium Seats USA’s aggregate liability with respect to this Agreement will not be in excess of the total commissions paid to you during the term of this Agreement. 9. SPYWARE & OTHER PARASITES An affiliate suspected of a relationship with any provider of spyware or parasitic software is subject to punitive actions by Premium Seats USA without notice including but not limited to termination of the affiliate’s account and withholding of payments to affiliate. 10. MISCELANIOUS This Agreement will be governed by the laws of the U.S. and the state of Florida. Any action taken relating to this Agreement must be brought in the federal or state courts located in Ft. Lauderdale, FL and within the consent to the jurisdiction of such courts. You may not assign this Agreement, by operation of law or otherwise, without Premium Seats USA’s prior written consent. SIGNUP NOW |
